Terms of Use 1) Agreement to Terms These Terms of Use apply to the API service for the PLaMo foundation model provided by Preferred Networks, Inc. (hereinafter referred to as "the Company"). By using this API service (“the Service”), users agree to be bound by these Terms of Use. 2) Use of the Service a) What Users Can Do Users are allowed to use the Service provided they comply with these Terms of Use. When using the Service, users must adhere to all applicable laws, the guidelines and policies published by the Company, as well as any other documents provided to them by the Company. b) What Users Cannot Do The following conducts are prohibited when using the Service. If it is reasonably determined by the Company that a user has engaged in any of the prohibited conduct, the Company may suspend the use of the Service, cancel the user's registration, or take any other necessary measures it deems appropriate. 1) Infringing on the intellectual property rights, publicity rights, or privacy rights of the Company or third parties 2) Tarnishing the reputation or credibility of the Company or third parties (including other users, the same applies hereinafter), or unjustly making racial discrimination or defamatory remarks 3) Entering personal information as defined by Japanese law, specifically Paragraph 1 of Article 2 of the Act on the Protection of Personal Information (Act No. 57 of 2003), or sensitive personal information as similarly defined by this statute 4) Stalking, harassing, trolling, or doxxing other users 5) Causing economic harm to the Company or third parties 6) Infringing on the property of the Company or third parties 7) Engaging in threatening behavior towards the Company or third parties 8) Using or inducing the use of computer viruses or harmful programs 9) Using the Service with the intent to create or facilitate the creation of fraudulent software, automated software, bots, or any other third-party software not approved by the Company 10) Engaging in any communication, actions, or expressions that may incite or encourage harmful actions such as suicide, self-harm, violence, and drug abuse 11) Disseminating false information 12) Spreading information to third parties that implies the output of the Service is the official view and opinion of the Company 13) Using the relevant output for purposes that could have a legal or significant impact on any individual or business entity, such as credit, education, employment, housing, insurance, law, medical, or other important decisions 14) Engaging in, threatening to commit, participating in, or assisting in any criminal activities or any activities related thereto 15) Using the Service for money laundering or in violation of laws or regulations related to money laundering 16) Violating any laws and regulations or disrupting public order and societal norms 17) Providing direct or indirect benefits to antisocial forces in relation to the Service 18) Transmitting obscene information or materials (including images) detrimental to the healthy development of minors by any means without legitimate purpose or reason 19) Conducting political activities or similar activities without the Company's approval 20) Entering confidential information 21) Placing excessive burden on the infrastructure for the Service 22) Attacking servers, systems, or security related to the Service (including but not limited to modifying, altering, hacking, reverse engineering, decompiling, or disassembling) 23) Attempting to access the Service by methods other than the interface provided by the Company 24) Impersonating other users 25) Collecting or storing information pertaining to other users 26) Using the output of the Service for the development or training of other models or programs 27) Engaging in any other conduct that the Company reasonably deems inappropriate c) Feedback The Company may use feedback (opinions, requests) provided by users regarding the Service without any limitations or compensation. 3) Content a) User’s Content Users enter information into the Service ("Input") and receive results generated by the Service based on such Input ("Output"). Input and Output together are collectively referred to as "Content." Users are fully responsible for Content and its use, including but not limited to ensuring that the Input can be used in the Service, that the Content does not infringe on the rights of third parties, and that the Content does not violate applicable laws or these Terms of Use. b) Ownership of Content Between a user and the Company, and to the extent allowed by applicable law, except where rights are held by third parties, the user retains the ownership rights to the Content. c) Similarity of Content Due to the nature of the Service and general characteristics of artificial intelligence, Output may not be unique, and other users may receive similar Output from the Service. The ownership rights to their Content, as stipulated in the previous paragraph, do not apply to other users’ Output or in relation to third parties. d) Accuracy In using the Service, Output may sometimes not accurately reflect real people, places, or facts. The Company does not guarantee the accuracy, truthfulness, usefulness, or suitability of the Output, or non-infringement of any rights. Users shall utilize the Service and Output at their own risk and acknowledge and agree to the following: 1) Output may not always be accurate. Users must not rely on Output from the Service as a source of factual or truthful information, nor as a substitute for professional advice. 2) Users must confirm the accuracy, truthfulness, usefulness, suitability of the Output, and non-infringement of rights by the Output, as necessary, before using or sharing it. 3) Output generated by the Service does not represent the opinions or views of the Company. 4) Output may sometimes be incomplete, inaccurate, offensive, or potentially infringe upon the rights or interests of third parties. e) Storage of Content The Company is not obligated to store Content for users. 4) Intellectual Property Rights of the Company The Company and its affiliates retain all rights, title, and interest with regard to the Service. The Company's name and logo may only be used in accordance with the Company's brand guidelines. 5) Termination and Suspension of Use a) Termination of the Service Users are free to terminate or suspend their use of the Service at any time. The Company is not responsible for any damages incurred by users due to the termination or suspension of the Service (including but not limited to data loss), and the Company has no obligation to store users’ data or Content. b) Suspension of Use The Company may temporarily suspend or terminate a user’s access to the Service, or delete their account, if it determines that any of the following circumstances occur. The Company is not responsible for any damages incurred by the user due to these actions (including but not limited to data loss), and the Company has no obligation to store the user's data or Content. 1) The user has violated these Terms of Use or the Company's policies regarding usage. 2) It is necessary to comply with legal requirements. 3) The user's use of the Service may infringe upon the rights or interests of, or may cause harm to the Company, other users, or third parties. 4) The Company otherwise deems it necessary to take measures such as account suspension. 6) Changes to the Service The Company reserves the right to change the Service without prior notice to users and shall not be liable for any damages incurred by users as a result of such changes. Additionally, the Company is not obligated to maintain the quality or quantity of the Service and shall not be responsible for any degradation of the Service. 7) Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN “AS-IS” BASIS. EXCEPT TO THE EXTENT PROHIBITED BY LAW, THE COMPANY, ITS AFFILIATES, AND LICENSORS MAKE NO GUARANTEES OR ASSURANCES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, IN RELATION TO THE SERVICE, AND DISCLAIM ANY AND ALL WARRANTIES INCLUDING BUT NOT LIMITED TO ITS ACCURACY, TRUTHFULNESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, OR NON-INFRINGEMENT OF ANY RIGHTS. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, OR THAT ANY CONTENT WILL BE SECURELY MANAGED OR WILL NOT BE LOST OR ALTERED. USERS ACKNOWLEDGE AND AGREE THAT ANY USE OF OUTPUT FROM THE SERVICE IS AT THEIR SOLE RISK, AND USERS AGREE NOT TO RELY ON OUTPUT AS THE SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, NOR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE. THE COMPANY WILL TAKE NO RESPONSIBILITY FOR USERS' USE OF THE SERVICE OR CONTENT. 8) Limitation of Liability A) THE LIABILITY OF THE COMPANY, ITS AFFILIATES, OR LICENSORS FOR DAMAGE INCURRED BY USERS WILL BE LIMITED TO DIRECT AND GENERAL DAMAGES ONLY, AND THEY WILL NOT BE HELD RESPONSIBLE FOR ANY LOSS OF PROFITS, SPECIAL, INDIRECT, OR ANY OTHER DAMAGES. THE MAXIMUM LIABILITY FOR DAMAGES SHALL BE 500 YEN. THIS PROVISION, HOWEVER, DOES NOT APPLY IF THE COMPANY IS DETERMINED TO HAVE ACTED WITH DELIBERATE INTENT OR GROSS NEGLIGENCE. b) REGARDLESS OF THE PREVIOUS PARAGRAPH, SHOULD A USER USE THE SERVICE FOR BUSINESS PURPOSES, THE COMPANY WILL NOT BEAR ANY LIABILITY TO THE USER FOR ANY DAMAGES OR ANY OTHER RESPONSIBILITIES TO THE USER, EVEN IF THE COMPANY IS FOUND TO HAVE ACTED WITH DELIBERATE INTENT OR GROSS NEGLIGENCE. 9) Liability for Damages If a user causes damage to the Company, the user shall be responsible for compensating the Company for such damages. 10) Resolution Through Mutual Discussion If any matters not covered in these Terms of Use arise, or if there are any questions about their interpretation, the Company and users shall seek to promptly address and resolve the issues through mutual discussion, adhering to principles of honesty and good faith. 11) General Provisions a) Assignment of Rights Users cannot assign or transfer their rights or obligations under these Terms of Use, and any attempt to do so will be considered invalid. The Company, however, may transfer its rights or obligations under these Terms of Use to its affiliates, subsidiaries, or successors for the benefit of the business related to the Service. b) Changes to these Terms of Use or the Service The Company is continuously working on the development and improvement of the Service. The Company reserves the right to update these Terms of Use and the Service at any time. For example, the Company may change these Terms of Use or the Service for the following reasons: 1) Due to changes in laws or government regulations 2) For security or safety reasons 3) Due to circumstances beyond the Company’s reasonable control 4) As part of the Company’s normal process of developing and enhancing the Service 5) To accommodate new technologies c) Trade Controls Users must comply with all applicable trade-related laws and regulations, including sanctions and export control laws. The Service must not be used for the benefit of, exported or re-exported to any embargoed countries or regions, or to any individuals or entities with whom transactions are restricted or prohibited under applicable trade laws. The Service must not be used for any end-use prohibited by applicable trade laws, and users’ Input must not include any materials or information that require government authorization for release or export. d) Entire Agreement These Terms of Use contain the entire agreement between users and the Company concerning the Service and, other than any Service-specific terms, supersede any prior or contemporaneous agreements between users and the Company. e) Governing Law and Court of Jurisdiction i) The validity, interpretation, and enforcement of these Terms of Use shall be governed by and construed in accordance with the laws of Japan. ii) Disputes, lawsuits, or any other conflicts between the Company and users will be brought exclusively in the jurisdiction of the Tokyo Summary Court or the Tokyo District Court, depending on the amount in controversy.
