END USER LICENSE AGREEMENT

   c. Remove, alter, or obscure any proprietary notices or labels on the Software.
   d. Transfer, sublicense, lease, lend, or rent the Software to any third party.

3. INTELLECTUAL PROPERTY

The Software and any related documentation are and shall remain the intellectual property of Licensor. This Agreement does not convey to User any interest in or to the Software, but only a limited right of use in accordance with the terms of this Agreement.

4. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

6. TERMINATION

This Agreement is effective until terminated by User or Licensor. User may terminate this Agreement at any time by ceasing to use the Software. Licensor may terminate this Agreement immediately if User breaches any term of this Agreement.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in [Your Jurisdiction], and the parties hereby consent to the personal jurisdiction and venue of such courts.

8. MISCELLANEOUS
