End-User License Agreement (EULA) for CAMB.AI’s MARS6 Text-to-Speech Model Last Updated: [November 5, 2024] This End-User License Agreement ("Agreement") is a legally binding contract between you ("User") and CAMB.AI, an ENTO.AI FZ LLC company, ("Licensor"), regarding your access to and use of the MARS6 text-to-speech (TTS) model ("Model"), hosted through AWS SageMaker JumpStart and Amazon Bedrock ("Platforms"). By accessing or using the Model, you agree to be bound by these terms. If you do not agree with any part of this Agreement, you must not access or use the Model. 1. Definitions Model: Refers to CAMB.AI's proprietary MARS6 TTS model, including all components, updates, and modifications. User: Refers to any individual, company, or entity authorized to access and use the Model. CAMB.AI: The Licensor, developer, and owner of the Model, and any affiliates, subsidiaries, and assigns. Platform(s): The AWS SageMaker JumpStart and Amazon Bedrock systems through which the Model is distributed. 2. License Grant CAMB.AI grants the User a non-exclusive, non-transferable, revocable license to use the Model within the AWS SageMaker JumpStart and Amazon Bedrock environments. This license is limited to User's applications and projects, as defined by AWS usage tiers, and includes both non-commercial and commercial applications as outlined in AWS's licensing terms. 3. Scope of Use User agrees to: Access and use the Model solely within AWS SageMaker and Amazon Bedrock. Adhere to all AWS policies applicable to Model usage. Limit Model usage to lawful and ethical applications. 4. Restrictions User shall not: Reverse engineer, decompile, modify, or disassemble the Model. Use the Model to develop competing products or services. Redistribute, sublicense, rent, or transfer the Model or any components to third parties. Use the Model for purposes deemed unlawful, harmful, or in breach of this Agreement. 5. Proprietary Rights and Ownership All rights, title, and interest in and to the Model, including all associated intellectual property rights, are and remain exclusively with CAMB.AI. This Agreement does not grant User rights to use CAMB.AI’s trademarks, logos, or service marks unless explicitly permitted in writing by CAMB.AI. 6. Privacy and Data Collection CAMB.AI’s use of data is governed by its Privacy Policy, which outlines the collection, use, and processing of User data through AWS platforms. Data Usage and Security User consents to CAMB.AI’s collection and analysis of anonymized metadata derived from the Model's usage solely for internal analytics and product enhancement. CAMB.AI employs industry-standard security protocols to protect User data, but User acknowledges and accepts inherent risks associated with cloud-based systems. 8. Term and Termination This Agreement is effective upon User’s access to the Model and remains valid until terminated. CAMB.AI may terminate this Agreement immediately if User breaches any of its terms or engages in unauthorized use. Upon termination, User agrees to cease all use of the Model. 9. Fees and Payment AWS-based fees apply to the Model's use, including charges for compute resources. The User agrees to pay all applicable fees according to AWS’s terms. CAMB.AI reserves the right to adjust fees or implement new fees upon reasonable notice to User. 10. Modification of Terms CAMB.AI reserves the right to modify this Agreement at its discretion. Any changes become effective upon posting the revised Agreement on CAMB.AI's website. Continued use of the Model signifies acceptance of the updated Agreement. 11. Warranty Disclaimer The Model is provided "AS IS" without any warranties, express or implied, including but not limited to implied warranties of merchantability, non-infringement, and fitness for a particular purpose. CAMB.AI does not guarantee uninterrupted or error-free operation of the Model. 12. Limitation of Liability To the maximum extent permitted by law, CAMB.AI and its affiliates, officers, and agents shall not be liable for any indirect, incidental, or consequential damages arising from Model usage, including loss of profits, data, or goodwill. CAMB.AI’s total liability shall be limited to the amount User has paid for Model access through AWS in the preceding 12 months. 13. Indemnification User agrees to defend, indemnify, and hold CAMB.AI and its affiliates harmless from any claims, damages, or liabilities arising from User’s breach of this Agreement, misuse of the Model, or violations of third-party rights, including intellectual property rights. 14. Compliance with Laws User agrees to comply with all applicable laws and regulations regarding Model use, including data protection, privacy, and export control laws. User acknowledges responsibility for securing permissions from data subjects for any data processed through the Model. 15. Governing Law and Dispute Resolution This Agreement shall be governed by the laws of the United Arab Emirates (UAE), excluding conflict of law principles. Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration under DIAC Arbitration Rules, with the arbitration conducted in Dubai in English. Both parties agree to waive any right to participate in class-action lawsuits. 16. Severability If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions will remain in full force. CAMB.AI reserves the right to modify or replace any such provisions with valid terms that reflect the original intent. 17. Entire Agreement This Agreement represents the entire agreement between the User and CAMB.AI regarding the Model and supersedes all prior understandings. No modifications to this Agreement shall be binding unless signed by both parties.
