Renewal and Termination This EveryEdge Function Router Service Description (the "Service Description") describes the services comprising the EveryEdge Function Router offer (the "Offer" or "EveryEdge Function Router" or "EveryEdge") that Cisco Systems, Inc. and its affiliates ("Cisco") will provide. EveryEdge Function Router is offered under limited availability terms only. This means that the Offer is not generally released, and is offered on an "As Is" basis as further described in this Service Description and the Agreement. Each Order is subject to confirmation by Ciscoor its authorized representative. Purchases Purchase from Cisco. Purchases of EveryEdge are governed by and incorporate by reference the terms of Cisco's Universal Cloud Services Agreement located here: http://www.cisco.com/c/en/us/about/legal/end-user-license-and-cloud-terms.html or an equivalent written agreement between Cisco and User governing the delivery of cloud or SaaS offers by Cisco (the "Agreement"). If there is a conflict between this Service Description and the Agreement, this Service Description shall prevail. The terms of this Service Description are limited to the scope of this Service Description, and shall not be applicable to any other offer, service descriptions or statements of work. Purchase of EveryEdge under limited availability is currently offered through the Amazon Web Services Marketplace ("AWS Marketplace" or "Marketplace") under the terms of the Agreement. Customer is responsible for compliance with any AWSMarketplace terms and conditions governing the eligibility for and use of the Marketplace for purchase or use of the Offer from Cisco. Definitions Capitalized terms used in this Service Description and not otherwise defined in the Service Description have the meanings given them in the Agreement (as applicable) or otherwise defined in documents referenced herein. "Endpoint Lookup Allowance" means the number of requests to EveryEdge to look up an endpoint that may bereceived by EveryEdge in a specified period for an Order. "EveryEdge API" means a set of REST function calls for exchanging data between User code and EveryEdge. "Project" means a logical separation of resources stored in EveryEdge used to support access restrictions. "Service Cycle" means the monthly service period associated with an Order that starts on the day the term of the Offer begins. "User" means an entity that purchases the Offer from Cisco, and owns controls, or participates in Projects that implement EveryEdge. Cisco EveryEdge Function Router Overview EveryEdge is a tool that provides management, discovery, and policy enforcement of distributed and variedcollections of compute endpoints selected by User.Identification and execution of available resources or functions through EveryEdge enables the execution of functional programming models such as "Function as a Service". Covered endpoints may reside in Internet accessible locations across any public cloud, or private infrastructure or cloud. EveryEdge is a self-service environment delivered as a software as a service offer running in the cloud. Authorized users can access EveryEdge via a self-service web-based portal that allows interaction with the tool using a web browser. User may also access the EveryEdge API to integrate its functions and interfaces. EveryEdge enables Users to Create, Read, Update, Delete, and List (CRUDL) the following categories of items, either via the self-service web-based portal or withthe EveryEdge API: . Users . Clients . Execution Endpoints . Locations . Functions EveryEdge will function on top of the Amazon Web Services platform, which uses industry recognized products and architectures, and is designed to meet the security needs of customers across industries and geographies. EveryEdge may be utilized on a Project basis. The owner of the Project manages access control for each User that participates in the Project, including initially granting access. Any User provided access to the Project will have access to all records generated through EveryEdge for the Project. User Responsibilities Each User that accesses EveryEdge API is responsible forthe selection, development, execution and maintenance ofcustom or standardized software that invokes EveryEdgeAPI for the transmission and receipt of data. User is also responsible for: - User management and access control - Function management - Location management - Client management - Policy management - Project management In addition, User is responsible for all data sent to EveryEdge. User will ensure compliance with any policies, rules and regulations related to data it transmits to Cisco through EveryEdge. In particular, if any personal data or personally identifiable information (PII) is transmitted, User must ensure that consents, if applicable, are obtained. Offer Options The Endpoint Lookup Allowance must be specified when ordering EveryEdge. Cisco will specify the number of Endpoint Lookup Allowance options available to Userduring each Service Cycle or other allotted time period.Cisco may throttle or suspend access for a specified Userthat exceeds its Endpoint Lookup Allowance at any time. The Offer options may also include limits on the number of functions and endpoints that can be serviced by EveryEdge. The Service Cycle is used to bill and track usage of the Offer by User. The Service Cycle begins on the date User obtains access to the Offer through the AWS Marketplaceenvironment. Ordering and Billing The specific quantity, pricing and other metrics for purchases of the Offer will be documented in an Orderprocessed through the AWS Marketplace. AWS Marketplace will also manage billing and collection of any amounts owed to Cisco under the Order. Limited Availability Exclusions EveryEdge is offered "As Is" as a limited availability Offer. Cisco: (a) expressly disclaims all warranties and conditions of any kind, express or implied, including without limitation any warranty, condition or other implied term as to merchantability, fitness for a particular purpose or non-infringement; and (b) makes no warranty or representation that: (i) the Offer will be uninterrupted, completely secure, error-free, or free of viruses; or (ii) the Offer will meet User's business requirements or operate with User's existing systems. In addition, Cisco expressly disclaims any liability for privacy or data security issues related to data transmitted to or otherwise managed through EveryEdge. Cisco support services contracts are not offered with the limited availability Offer. All liability of Cisco, its affiliates, officers, directors, employees, agents, suppliers, and licensors collectively, toUser, for claims related to, or arising out of the Offer shall not exceed the fees paid to Cisco for the Offer during the twelve (12) months before the last event that gave rise to User's claim. This limit is in the aggregate and not per incident. In no event will either party be liable, regardless of the theory of liability or whether arising out of the use or inability to use the Offer or otherwise, even if either party been advised of the possibility of such damages: (a) indirect, incidental, exemplary, special or consequential damages; (b) loss or corruption of data or interrupted or loss of business; or, (c) loss of revenues, profits, goodwill or anticipated sales or savings. This limitation of liability applies whether the claims are in warranty, contract, tort (including negligence), infringement or otherwise, even if either party has been advised of the possibility of such damages. Nothing in this Service Description limits or excludes any liability that cannot be limited or excluded under applicable law. Limited Availability Support Support for EveryEdge will consist of 24x7x365 access to the EveryEdge online knowledge base and community-based support channels established by Cisco. Renewal and Termination The Offer is provided on a month to month basis. EveryEdge will renew automatically at the beginning of each new month as defined under the Order, unless either party elects not to renew by providing a notice of non-renewal at least fifteen days prior to the end of each monthly period. Cisco reserves the right to disconnect access to EveryEdge in the event the term expires, or User has breached the terms of the Agreement and has not cured the breach within the required time frame. User may transition to a generally available release of the Offer if provided, subject to mutual agreement on any additional terms required for that release.
