TRISCREENING END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is between Agentic AI Systems & Solutions Ltd ("AAiSS", "we", "us"), a company registered in England and Wales (Company Number: 16458317), part of the Telekomatrix group (Company Number: 08266230), and the entity or individual ("Customer", "you") subscribing to TriScreening through AWS Marketplace.

1. SERVICE DESCRIPTION
TriScreening is an AI-powered adverse media and sanctions screening platform delivered as a Software-as-a-Service (SaaS) through AWS Marketplace. The service provides real-time screening, batch processing, continuous monitoring, and compliance reporting capabilities.

2. SUBSCRIPTION AND BILLING
2.1 Billing is handled exclusively through AWS Marketplace.
2.2 Pricing tiers: Starter ($799/mo), Professional ($2,499/mo), Business ($6,999/mo), Enterprise (custom).
2.3 Annual billing available with 15% discount.
2.4 14-day free trial with 1,000 screening units included.
2.5 Unused screening units do not roll over between billing periods.
2.6 Overage charges apply for usage exceeding tier limits.

3. DATA OWNERSHIP AND PRIVACY
3.1 Customer retains all ownership rights to their data.
3.2 All customer data is processed and stored in the EU (London, eu-west-2).
3.3 AI inference occurs in us-east-1; no customer data is stored outside the EU.
3.4 PII is anonymised before AI processing using jurisdiction-aware masking.
3.5 We comply with GDPR, UK GDPR, CCPA, and PDPA requirements.

4. SERVICE LEVEL AGREEMENT
4.1 Starter: Best effort uptime, 48hr email support response.
4.2 Professional: 99.5% uptime, 24hr support response.
4.3 Business: 99.9% uptime, 4hr support response.
4.4 Enterprise: 99.95% uptime, 1hr support response (24/7).

5. ACCEPTABLE USE
5.1 The service is for lawful compliance screening purposes only.
5.2 Customer shall not use the service for consumer credit reporting (FCRA).
5.3 Customer shall not reverse-engineer, decompile, or attempt to extract source code.
5.4 Customer shall not resell or sublicense the service without written consent.

6. LIMITATION OF LIABILITY
6.1 TriScreening provides screening results as decision-support tools, not definitive determinations.
6.2 Customer is responsible for final compliance decisions.
6.3 Our total liability shall not exceed the fees paid in the 12 months preceding the claim.
6.4 We are not liable for indirect, consequential, or punitive damages.

7. INTELLECTUAL PROPERTY
7.1 AAiSS retains all intellectual property rights in TriScreening.
7.2 Customer is granted a non-exclusive, non-transferable licence to use the service during the subscription term.

8. TERMINATION
8.1 Either party may terminate with 30 days written notice.
8.2 AWS Marketplace subscription cancellation terminates this Agreement.
8.3 Upon termination, customer data is retained for 90 days for retrieval, then deleted.
8.4 Audit data is retained per regulatory requirements (minimum 7 years).

9. GOVERNING LAW
This Agreement is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
